Overview
These Terms of Service ("Terms") are a legally binding agreement between you ("Merchant," "you," or "your") and For Everyone Group LLC ("Company," "we," "us," or "our"), governing your access to and use of TillIQ (the "Platform"), available at tilliq.app and app.tilliq.app. By creating an account or using the Platform, you confirm that you have read, understood, and agree to these Terms. If you are accepting on behalf of a business, you represent that you have authority to bind that business. If you do not agree to these Terms, do not use the Platform.
1. Description of Service
TillIQ is a cloud-based, multi-tenant Software-as-a-Service ("SaaS") point-of-sale and business management platform designed for merchants across the Caribbean. The Platform provides features including but not limited to: product and inventory management; sales transaction processing; customer relationship management; loyalty programme tools; warehouse and supplier order management; employee and shift management; reporting and analytics dashboards; and AI-assisted business insights. We reserve the right to modify, suspend, or discontinue any feature of the Platform at any time with reasonable notice.
2. Account Registration
To use the Platform, you must: • Be at least 18 years of age. • Operate a legitimate business in your jurisdiction. • Provide accurate, current, and complete registration information. • Maintain the security of your account credentials. • Promptly update your information if it changes. You are solely responsible for all activity that occurs under your account. You must notify us immediately at support@tilliq.app if you suspect unauthorised access. We reserve the right to suspend accounts where we have reason to believe the account information is false, misleading, or violates these Terms.
3. Subscription Plans & Payment
3.1 Subscription Plans
TillIQ offers tiered subscription plans with different features and pricing levels. Current plan details, pricing (denominated in USD or JMD as applicable), and features are described on the Platform's pricing page at tilliq.app/pricing. We reserve the right to change plan pricing with at least thirty (30) days' written notice.
3.2 Billing
Subscriptions are billed on a recurring basis (monthly or annually, as selected). Payments are processed via Stripe. By providing payment information, you authorise us to charge your payment method for all amounts due. All fees are non-refundable except as set out in Section 3.4.
3.3 Free Trial
We may offer a free trial period for new accounts. At the end of the trial, your account will automatically convert to a paid subscription unless you cancel before the trial expires. No charges will be made during the trial period.
3.4 Refunds
We offer a pro-rata refund for the unused portion of a monthly plan cancelled within the first seven (7) days of that billing cycle. Annual plans are non-refundable after the first fourteen (14) days. Refund requests must be submitted to support@tilliq.app.
3.5 Taxes
You are responsible for all applicable taxes, duties, and levies related to your purchase of TillIQ services in your jurisdiction. We will add applicable taxes where required by law.
4. Acceptable Use
You agree to use the Platform only for lawful purposes and in compliance with these Terms. You must NOT: • Use the Platform to process transactions for illegal goods or services. • Attempt to gain unauthorised access to any part of the Platform or our infrastructure. • Reverse engineer, decompile, or attempt to derive the source code of the Platform. • Upload viruses, malware, or any malicious code. • Use the Platform to send spam, phishing, or unsolicited communications. • Impersonate another merchant, user, or the Company. • Violate any applicable local, national, or international law or regulation. • Use the Platform in any manner that could damage, disable, or impair the Platform or interfere with other users. Violation of this section may result in immediate suspension or termination of your account without refund.
5. Merchant Data
You retain all ownership rights to the business and customer data you input into the Platform ("Merchant Data"). By using the Platform, you grant us a limited, non-exclusive, royalty-free licence to access, store, and process Merchant Data solely to provide and improve the Platform. You are solely responsible for: • Ensuring you have the right to input any customer or third-party data into the Platform. • Compliance with applicable data protection laws (including Jamaica's Data Protection Act, 2020, and any other applicable legislation) with respect to your customers' personal data. • Obtaining any consents required from your customers before storing their information in TillIQ. We will handle Merchant Data in accordance with our Privacy Policy.
6. Intellectual Property
The Platform, including all software, design, text, graphics, logos, and other content, is owned by For Everyone Group LLC and protected by applicable intellectual property laws. These Terms do not transfer any ownership rights to you. You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for your internal business operations during your subscription period. "TillIQ," the TillIQ logo, and all related marks are trademarks of For Everyone Group LLC. You may not use our trademarks without prior written consent.
7. Third-Party Services
The Platform integrates with third-party services including Stripe for payment processing. Your use of those services is governed by the respective third-party terms and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services. Links or integrations to third-party platforms do not constitute an endorsement by TillIQ.
8. Service Availability
We target 99.5% monthly uptime for the Platform (excluding scheduled maintenance). We will endeavour to provide advance notice of scheduled maintenance. We are not liable for any downtime or service interruptions caused by third-party infrastructure providers, force majeure events, or circumstances outside our reasonable control. In the event of prolonged unplanned outages exceeding 24 continuous hours, we will provide affected subscribers with a pro-rata service credit upon request.
9. Disclaimers
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. We do not warrant that: (a) the Platform will be uninterrupted, error-free, or free of viruses; (b) the results obtained from using the Platform will be accurate or reliable; or (c) any errors in the Platform will be corrected.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FOR EVERYONE GROUP LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM. Our total aggregate liability to you for any claim arising under these Terms shall not exceed the greater of: (a) the total fees paid by you to TillIQ in the three (3) months immediately preceding the event giving rise to the claim; or (b) USD $100. Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability is limited to the fullest extent permitted by law.
11. Indemnification
You agree to defend, indemnify, and hold harmless For Everyone Group LLC and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law; or (d) any claim by your customers or third parties relating to Merchant Data you input into the Platform.
12. Term & Termination
These Terms remain in effect for as long as you maintain an active TillIQ account. You may cancel your subscription at any time through your account dashboard or by contacting support@tilliq.app. Cancellation takes effect at the end of your current billing period. We may suspend or terminate your account immediately if: (a) you materially breach these Terms; (b) we are required to do so by law; (c) your account remains inactive for more than twelve (12) consecutive months; or (d) continued operation creates risk to the Platform, other users, or the Company. Upon termination, your right to access the Platform ceases. You may request an export of your Merchant Data within thirty (30) days of termination. After that period, we may delete your data in accordance with our retention schedule.
13. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of Jamaica, without regard to its conflict of law provisions. For merchants located in the United States, the laws of the State of Delaware shall apply as an alternative governing law. Any dispute arising out of or in connection with these Terms that cannot be resolved informally shall first be submitted to non-binding mediation. If mediation fails, disputes shall be resolved by binding arbitration or, where arbitration is not enforceable, in the courts of Jamaica. You waive any right to participate in a class action lawsuit or class-wide arbitration against the Company.
14. Changes to These Terms
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or via a banner notification in the Platform at least fourteen (14) days before the changes take effect. Your continued use of the Platform after that date constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Platform and cancel your subscription before the effective date.
15. General Provisions
• Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and the Company with respect to the Platform. • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force. • Waiver: Failure to enforce any right under these Terms does not constitute a waiver of that right. • Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights freely. • Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including natural disasters, pandemics, government actions, or infrastructure outages.
